General Terms and Conditions of Sale: Service Provisions

Clause 1: Purpose and Scope

These General Terms and Conditions of Sale (T&Cs) form the foundation for commercial negotiations and are systematically provided to each buyer to enable them to place an order.

These same General Terms and Conditions of Sale (T&Cs) apply to all service provisions offered by the company Goldanniyatech, headed by Yoann AMAR ASSOULINE, in the fields of teaching and IT consulting.

They form the basis of the contractual relationship and are always provided to any client before the service is finalized.

Acceptance of a quote or order form that includes the statement "I declare that I have read and accept the General Terms and Conditions of Sale without reservation" implies the client's full and unconditional acceptance of these T&Cs.

Clause 2: Price

The prices for services are indicated in euros excluding taxes (HT). They will be subject to the applicable VAT at the time of invoicing, if applicable. Goldanniyatech reserves the right to modify its prices at any time but commits to applying the prices in effect at the time of the order.

Clause 3: Discounts, Rebates, and Reductions

Commercial discounts may be granted based on objective and transparent criteria, such as the volume of services ordered or ongoing promotional offers.

Clause 4: Early Payment Discount

No discount will be granted for early payment.

Clause 5: Payment Terms

Payment for services is exclusively made by bank transfer, according to the details specified on the invoice. The payment deadlines are as follows:

Clause 6: Late Payment

In accordance with French law, any late payment will incur a penalty of 10% of the total amount including VAT of the invoice, payable without prior formal notice, starting the day after the due date.

As per Articles 441-10 and D. 441-5 of the French Commercial Code, a fixed fee of €40 for collection costs is also due.

Clause 7: Termination Clause

If, after a formal notice has gone unanswered for 15 days, the client has not paid the amounts due, the service will be terminated by right, without prejudice to any further compensation.

Clause 8: Intellectual Property

All content, materials, and deliverables produced within the framework of the services remain the exclusive property of Goldanniyatech, unless explicitly stated otherwise in the contract. Any unauthorized reproduction or use may result in legal action.

Clause 9: Delivery

Services are delivered according to the terms defined in the quote:

Clause 10: Right of Withdrawal

The client, if they are a consumer under the Consumer Code, has a legal right of withdrawal for 14 days starting from the signature of the contract.

Clause 11: Force Majeure

Goldanniyatech will not be held liable for any delay or inability to perform due to a force majeure event as defined by Article 1218 of the Civil Code.

Clause 12: Competent Court and Applicable Law

Any dispute relating to the interpretation and execution of these T&Cs is governed by French law. In the event of a dispute, the parties will strive to find an amicable solution. If unsuccessful, the dispute will be brought before the Commercial Court of Paris.
